      • Atlantic Search: The RJSC performs a NUANS search across Nova Scotia, New Brunswick, Prince Edward Island, and the Federal database.
      • Reservation Period: Once approved, your name is reserved for 90 days. If you do not incorporate within this window, the reservation expires and must be refiled.

      Nova Scotia follows a specific "Three-Part" naming rule to ensure clarity and distinctiveness:

      • Distinctive Element: A unique word or made-up term (e.g., "Bluenose" or "Caper"). Generic words like "Atlantic" or "Maritime" are often rejected unless paired with a very unique identifier.
      • Descriptive Element: Words that describe what your business actually does (e.g., "Consulting," "Fisheries," or "Software"). While optional for some corporations, it is highly recommended to speed up approval.
      • Prohibited Terms: You cannot use words that imply government affiliation (e.g., "Parliament," "Royal," or "Nova Scotia Government") without express permission.
    • Which Legal Ending to choose?

      Every Nova Scotia company must end with a legal designation. These all have the same legal meaning; choose the one that best fits your brand:

      • Limited / Ltd. (Most common in Nova Scotia)
      • Incorporated / Inc.
      • Corporation / Corp.
      • Limitée / Ltée (French equivalents)

      The fastest way to incorporate is to choose a Numbered Company (e.g., 1234567 Nova Scotia Limited). This allows you to skip the 2-to-4-day name approval wait time.

      • The Solution: You can later register a Trade Name (also known as an Operating Name or "Doing Business As") to give your numbered company a public identity (e.g., 1234567 N.S. Ltd. operating as "South Shore Seafoods").
    • What are the benefits of a trade name?

      A Trade Name is a secondary name registered under your corporation. It is perfect for:

      • Branding: Using a simpler, catchy name for storefronts and social media while keeping the legal number for taxes.
      • Multiple Divisions: One corporation can register multiple trade names to run different lines of business (e.g., a "Construction" division and a "Landscaping" division).
      • Compliance: In Nova Scotia, if you do business under any name other than your exact corporate name, you are legally required to register that name as a business name with the RJSC.
    • A corporation is required to have a physical registered office and records office address in Nova Scotia. P.O. box or virtual mailbox addresses are not acceptable. If you do not have a physical address, we offer address and mail scanning services.

      Under the Nova Scotia Companies Act, every corporation must maintain a Registered Office Address within the province of Nova Scotia.

      • Physical Location: This must be a physical civic address (residential or commercial) where the company can be legally served. P.O. Boxes are not permitted for the Registered Office civic address.
      • Records Office: You must also designate a location to keep your Minute Book and registers. Usually, this is the same as your Registered Office.
      • Recognized Agent: In addition to an address, you must appoint a Recognized Agent who resides in Nova Scotia to receive official government correspondence and legal notices.
    • What Is an Address Service?

      The Address Service is an annual solution for business owners who do not have a physical office or residence in Nova Scotia. It allows you to satisfy the legal requirement of having a local footprint.

      • Compliance: It ensures your company remains "In Good Standing" by having a valid address on file with the RJSC.
      • Renewal: This is a recurring annual service. You will be notified each year to renew so your corporate registration remains active.
      • Privacy: Using our service allows you to keep your personal home address off the public provincial registry.
    • How can I change my address in the future?

      You can update your corporation’s address at any time if you move or acquire a new commercial space.

      • The Process: You must file a Change of Entity Address form with the Registry of Joint Stock Companies.
      • The Deadline: You are legally required to notify the Registry within 28 days of the move.
      • Authorized Filer: If you are on our Complete Maintenance plan, simply notify us of your new address and we will handle the government filing for you.

      In Nova Scotia, your board of directors manages the business and affairs of the company. Decisions are generally made by majority vote, meaning each director holds equal weight unless your Articles of Association state otherwise.

      • Residency: Nova Scotia has no Canadian residency requirement for directors. This makes N.S. a popular jurisdiction for international founders, as your board can consist entirely of non-residents.
      • Control: Adding directors can diversify your company’s expertise, but ensure you choose individuals you trust, as they have the legal authority to bind the corporation to contracts.
    • Can I add or remove a director later?

      Yes. You must have at least one director to incorporate, but you can change your board members at any time as your business grows.

      • Filing Deadline: You are legally required to notify the Registry of Joint Stock Companies within 14 days of any change to your directors or their addresses.
      • The Form: This is filed via a Notice of Directors/Officers. If you are on our Complete Maintenance plan, we handle these filings and the required director consent forms for you.
    • What are the requirements to be a director?

      To qualify as a director of a Nova Scotia company, an individual must meet the following criteria under the Companies Act:

      • Age: Must be 18 years of age or older.
      • Capacity: Must be an individual (a corporation cannot be a director) and must be of sound mind (not found incapable by a court).

      Yes. The initial Notice of Articles is filed with the government. After incorporation, these articles can be modified by filing Articles of Amendment with the Nova Scotia Corporate Registry, along with the required fees.
    • What is company bylaws & minutes?

      In Nova Scotia, your Articles of Association serve as your internal by-laws. They set the rules for director meetings, shareholder voting, and officer appointments. Minutes are the formal records of those meetings.

      • Minute Book: You are legally required to maintain a Minute Book at your Records Office. It must contain your Memorandum, Articles, meeting minutes, and the ISC Register (mandatory as of 2026).
      • ISC Register: This is a mandatory list of individuals who own or control 25% or more of the company. Failure to keep this updated can result in significant provincial fines.
    • May I customize share classes?
      In the next section, you will be asked to choose share classes. The default structure works for most small businesses, but you may customize the classes, rights, and restrictions to align with a complex ownership or tax plan.
    • Is this expense tax ceditable?

      Yes. Incorporation fees are a deductible business expense, not a tax credit.

      • $3,000 Deduction: Under the Income Tax Act, you can deduct the first $3,000 of incorporation expenses (government fees, legal, and accounting) as a current expense in your first year of business.
      • Excess Costs: Any amount over $3,000 is treated as a capital expenditure (Class 14.1) and is written off at 5% per year.
      • Benefit: This deduction directly reduces your corporation's taxable income, lowering your overall tax bill for Year 1.

    • What is share and why need it?
      Since a corporation is a separate legal entity from its owners, it is owned only by owning its shares. The corporation's capital and equity are divided into pieces, and each piece is called a share. Owning shares gives you a proportional claim on the company's profits and assets.

      For simplicity of corporate filing, most people set up a low or nominal share price (like $1) in the beginning. Eventually, the authorized share capital (including share price and share numbers) can be adjusted later by filing Articles of Amendment and updating your corporate records.
    • What is class A and B shares?
      Shares are classified to define owner rights. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have such rights, often used for tax planning or investors who do not wish to be involved in management.

    • What does shareholder mean?
      In simple language, the shareholders are the owners of the corporation. If a corporation has 1 shareholder, regardless of the number of shares, the single shareholder owns 100% of the corporation.
    • How to set up share class?
      A corporation has 2 shareholders: John and Mike. Case 1: Both owners have rights to vote: Assign class A to both. Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
    • How to set up share number?
      Share numbers must be whole numbers. Case 1: John, Mike and Ali own same percentage: Assign exact same number to each. Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali. Case 3: Avoid decimals by scaling up the proportion. E.g., for 51%, 24.5%, 24.5%, assign 102, 49, and 49 shares.
    • Can I change share details in future?
      Yes. You can change share price, share number, and shareholders at any time by filing the appropriate corporate documents and updating the central share register (corporate records).

    • Why official email is needed?
      The company's official email is added to the company profile. Your corporation's notifications, warnings, and messages from the government (Nova Scotia Registry, CRA, etc.) go directly to this email address. If you need to reset your Company Key at any time, the reset code will be sent to this email.
    • What is an officer's role?
      The corporation's officers (President, CEO, VP, Secretary, etc.) are appointed by the directors to manage the business's daily operations. They are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
    • Can one individual be in multiple roles?
      Yes. Most corporations, in the beginning, assign a single individual in multiple roles (Director, Incorporator, Officer, and Shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
    • What are the usual positions/designations?
      Normally, the designations 'President' or 'CEO' is assigned to the primary director or the most important individual. The next roles are VP, Treasurer, Secretary, Administrative Assistant, etc.

    • Why mandatory filing is left as an option?

    • What is Corporate tax ID?
      Canada Revenue Agency (CRA) Business Number (BN) is a unique 9-digit identifier for businesses to interact with federal, provincial, and municipal governments in Canada. It is required for payroll, GST/HST, importing/exporting, or corporate income tax.
    • What is CRA Business Number?
      Corporations must report all income and expenses to the CRA. The Corporate Tax ID (also called RC0001 for the corporate tax account) is the identifier used for this purpose. Every corporation must obtain an RC0001 Corporate Tax Account from the CRA.
    • When do I need a Nova Scotia HST account?

      Nova Scotia uses a Harmonized Sales Tax (HST) which, as of 2025, is 14% (5% Federal + 9% Provincial). You must collect this tax on most goods and services sold within the province.

      • 14% Rate: Ensure your point-of-sale systems are updated to the 14% rate that went into effect on April 1, 2025.
      • Voluntary Registration: Even if you earn less than $30,000, you may choose to register voluntarily. The main benefit is the ability to claim Input Tax Credits (ITCs), which allow you to recover the 14% HST you pay on business purchases (like equipment, rent, and supplies).
      • Small Seller Correction: Nova Scotia follows the standard federal $30,000 threshold. There is no separate $10,000 exemption for "small sellers" in this province; once you surpass $30,000 in gross revenue, you must register.
    • Who needs a payroll account?
      If you hire employees (including yourself if you intend to pay yourself a salary), you need a Payroll Account Number (RP0001). If you do not have an employee, your own salary or a family member's salary can be processed through the payroll account for tax planning benefits.
    • What is import account?

      If your business brings physical goods into Canada for commercial use, you must add an Import Account (RM0001) to your Business Number.

      • CBSA & CARM: As of 2026, all importers must use the CARM Client Portal. Your RM account is the key to accessing this system to pay duties and clear customs at ports like Halifax.
      • Requirement: This account is necessary even if you only import goods occasionally.
    • What is export account?

      If you plan to ship physical goods from Nova Scotia to international markets, you need an Export Account linked to your Business Number.

      • Documentation: This account allows you to file export declarations required by the Canada Border Services Agency (CBSA) for high-value shipments.
    • Do I need WCB registration?

      In Nova Scotia, workplace insurance is managed by WCB Nova Scotia. The rules for mandatory registration are unique compared to other provinces:

      • The "3-Worker" Rule: For most industries, registration is only mandatory once you have three or more workers at any one time.
      • Who counts as a worker? This includes full-time, part-time, casual staff, and active directors/officers who receive a T4.
      • 10-Day Deadline: Once you hire your third worker, you must register within 10 days.
      • 2026 Reporting Change: Effective January 1, 2026, the deadline for reporting workplace injuries has been shortened from five days to two days.
      • Voluntary Coverage: If you have fewer than three workers, we still recommend Voluntary Coverage. This protects your corporation from being sued by a worker in the event of a workplace accident.

      Share certificates are legal and official proof of ownership of a corporation. Banks may ask to see them to open an account. Most people choose 5 share certificates to save costs; some choose 10 or 20. It includes blank certificates in case you want to add a spouse, child or friend as a shareholder in future.
    • Do I need a corporate seal?
      While not legally required by the NS Business Corporations Act, a corporate seal is a tool used to stamp or emboss a company's important documents (contracts, minutes, leases) to show that the document is certified by the corporation's Board of Directors. It is still widely used for formality and may be required by certain lenders.

      • The Deadline: Renewal is due by the last day of your anniversary month (the month your company was originally incorporated).
      • Good Standing: This filing is the only way to maintain your Certificate of Registration. Without it, your company is not "In Good Standing," which will prevent you from opening bank accounts or applying for government contracts.
      • Revocation & Dissolution: If you fail to pay your renewal fee and file the report, the Registry will revoke your registration. If left unaddressed, the government will eventually dissolve the corporation entirely.
    • What is domain name?

      A domain name is your business’s unique address on the internet (e.g., www.yourbusiness.ca). We recommend reserving a domain that matches your Nova Scotia corporate name immediately.

      • Brand Security: Securing your domain early prevents "cybersquatting" by competitors and ensures your marketing materials match your legal identity.
      • Local Trust: For Nova Scotia businesses, a .ca domain is the gold standard for building trust with local Atlantic Canadian customers.
    • What is Business Email address?

      A Business Email Address uses your custom domain (e.g., sales@yourcompany.ca) instead of a free provider like Gmail or Yahoo.

      • Control: You own the data and the accounts. If an employee leaves, the email address (and all its history) remains an asset of the corporation.
