  • Who needs to register with WSIB?
    • Registering with WSIB (Workplace Safety and Insurance Board) is required for most businesses in Ontario within 10 days of hiring their first employee.
    • WSIB registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.
    • WSIB account set up can be added in the package in next steps.

    • The difference between a named and numbered company
      A Numbered Company get a random number generated by Service Ontario system followed by "Ontario Ltd./Inc."
      For Example: 6745686 Ontario Ltd.
      For a Named Company, you can choose a name for your company, and it can be registered with that name. However, your name should be available and must satisfy the name rules.
      Deciding on named or numbered corporation depends on the requirement of individuals and on the purpose of incorporation.
      Incorporating a Numbered Company is faster and less expensive, but it does not describe the business in any way. It is the right choice if the company's name is not relevant (for example, holding company or a business which doesn’t advertise by a name).
      A company with a name is more credible to customers and other businesses associated with it.
    • What are the name rules?
      Name must be unique, should not be similar to other businesses. Name must, preferably, have the following components:
      1. A unique or distinctive word such as made-up word or a person's name.
      2. Second part of the name describes the service your business is offering.
      Examples of good name ideas are: ABCXYZ Home Renovation, Sarah's Mexican Restaurant, Thunder Bay home renovations. The name must contain a distinctive element followed by a descriptive element. Example: ABCXYZ Manufacturing.
      In the above name, 'ABCXYZ' is the distinctive element and 'Manufacturing'. Sample
    • What is a NUANS Report?
      It is a computerized name search report generated based on a proposed corporate / business name or trade-mark from Government databases listing similar and conflicting names of existing business names and trademarks. To incorporate an Ontario Corporation or a Federal Corporation an appropriate NUANS Report is required.
    • Are there different type of NUANS?
      Yes. There are 2 different kinds of reports:
      • A NUANS report for Federal and a NUANS report for each of the following provinces: Ontario, Alberta & New Brunswick.
      • The rest of the Canadian provinces have their own name approval processes and doesn't require a NUANS report. Examples of such jurisdictions are: B.C., Quebec, Manitoba, Saskatchewan, Newfoundland & Labrador, PEI, Yukon, they each require a name search report from their respective provincial database and registry and NOT from the NUANS database.
    • Why do I need a NUANS & name approval ?
      NUANS report is required for all named incorporations. NUANS report is a name search report which doesn't guarantee acceptance of that name by Service Ontario. We, along with the NUANS report do an analysis of the name so that it is acceptable for a corporation's name.
    • Which legal suffix to choose?
      All corporate names must end with a word or abbreviation known as legal suffix. The legal suffixes are for appearance purpose only and each of them has same meaning and significance. So, make your selection based on marketing considerations or personal preferences.
    • What are the benefits of a trade name?
      Registering a trade name offers several benefits:
      a) It allows you to use a shorter, more marketable name for advertising, business signs, and brand development.
      b) It can simplify the process of obtaining municipal licenses and permits.
      c) It creates a public record of your business name, which can be a foundational step toward securing a trademark in the future.

    • How do we calculate the timing?
      Your time counts starts from the moment we receive a complete order from you. A complete order includes complete clearance of payments and complete information. The time is counted within our business hours. The daily cut off time is 3:00 PM eastern time.
    • What is proposed incorporation date?
      The proposed incorporation date is official registration date for the corporation. It is also called the anniversary date or the date in which the following year, corporation's annual return gets due. Requested date for incorporation cannot be in past date. It must be current date or maximum 30 days in future.
    • Can I propose the date on weekend or holiday?
      Yes, you can. If you choose a future date, incorporation will take effect on your requested date regardless the requested date is weekday or weekend or holiday.
    • What is product classification?
      This is the the product that your business sells to the customers and earns revenue. The selling product can be tangible items such as pens, books, apples (goods) or non-tangible items such as services of barbers, waiters, IT specialists, digital products (services).
    • Why my business industry is not listed?
      The business industry listed here as of North American Industry Classification System (NAICS). You may choose the nearest industry type. If you cannot find any industry relevant enough to your business, you may choose other and write the industry name.
    • What to write as most important activity?
      This is the primary and major activity of your business. Please be concise and to the point to avoid delays. You may mention only one activity in single or two words as we have to select the closest activity from the government system.

    • A corporation is required to have a physical registered office address in Ontario. P.O. box or virtual mail box address is not acceptable. If you do not have a physical address, we offer address and mail scanning service.

      All Corporations in Ontario need a Physical or street address in the province, it can be rental place or home address.
    • Is this address changeable?
      Yes, this address can be changed later. In many cases when commercial place is not rented yet, residential address is given.

    • Who can be a Director?
      A director is responsible for overseeing the corporation's operations and has the authority to make administrative decisions, including appointing or removing other directors. To qualify as a director:

      • Can be a Canadian citizen, permanent resident, or a non-Canadian citizen.
      • Must not be bankrupt
    • Impact of adding additional director(s)
      Each director has equal power and control over the corporation. The Second director can remove the primary director and vice versa. Therefore, you may add an additional director whom you trust.
    • Can I add or remove a director later?
      Yes. At least one director must be listed at the time of incorporation. You can update the director information at any time in the future. If you opt for our Complete Maintenance package (available in the next steps), director changes can be made at no additional cost.

    • The classes and any maximum number of shares that the corporation is authorized to issue:
    • Rights, privileges, restrictions and conditions (if any) attaching to each class of shares and directors' authority with respect to any class of shares which may be issued in series. If there is only one class of shares, enter "Not Applicable"
    • The issue, transfer or ownership of shares is/is not restricted and the restrictions (if any) are as follows. If none, enter "None"
    • Restrictions, if any, on business the corporation may carry on or on powers the corporation may exercise. If none, enter "None"
    • Other provisions, if any. Enter other provisions, or if no other provisions enter “None”
    • Keeping bylaws and minutes is MANDATORY according to the CBCA act. We left this section as a choice on purpose because many of our clients are lawyers who prefer to draft the bylaws on their own. Choosing not to include it indicates the following:
      • You will file yourself to add officers (CEO, President etc.)
      • You will file yourself to add shareholders (owners to this company)
      • You will file to define who owns what percentage of shares

    • What is standard clause in the articles?
      Standard clauses are used by default in the articles of incorporation for a wide range of standard businesses and everyday operations.
    • May I amend the articles?
      Yes. The initial Articles of Incorporation are filed with the government when the corporation is registered. After incorporation, these articles can be modified by submitting the appropriate Articles of Amendment along with the required fees.
    • What is company bylaws & minutes?
      Corporate bylaws, alternatively known as company constitution, are the rules, rights, regulations and policies set by a corporation. The corporate bylaws, usually prepared by a corporate lawyer ensuring no rules or clause conflicts the Provincial Corporations Act or Canada Business Corporations Act (CBCA). Corporate Bylaws and Minutes may also be required by certain banks to open an account
    • May I customize share classes?
      In the next section, you will be asked to choose share classes.
    • Is this expense tax ceditable?
      Yes, the expense is tax creditable. When you incorporate a company, the expenses are called business development expenses which are tax creditable.

      Since a corporation is a separate legal entity than its owners, it could owned only by owning its shares. The corporation's assets and stocks are go split into pieces and each of these pieces is called share. If a corporation issues 100 shares with $1 each, the total net worth of the corporation is 100x$1=$100.
    • Can I change share price in future?
      For simplicity of corporate filing, most people set up $1 share price in the beginning. Eventually, the share price and share numbers could be increased.
    • What is class A and B shares?
      A corporation's stock are split into shares. Those who own the shares, are in fact the owners of the corporation. Therefore, to make a classification of owners, shares are classified. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have such rights.

    • What is the recommended shares?
      Most People put 1 as Shares, but can be any Number. Share cannot be fraction. If you are the only shareholder then you own 100% of the Shares.
    • Can I Add or Remove shareholder later?
      Yes. You can add or remove Shareholder later at anytime.
    • How to put share in percentage?
      Total share is calculated by adding up each shareholder's share number. Example: your share is 60, your spouse's share is 40. Then total shares = 60 + 40 = 100. In this case, you hold 60% and spouse holds 40%. If more than one shareholder and you want to assign in percentage, make total share number as 100.

    • Submitting the Initial Declaration/Return is required within 60 days after incorporation. This serves as an official notification to the government regarding your corporation's directors, registered office, names and titles of officers, and the official email address.

    • What is Initial Return?
      Ontario corporations must file an Initial Return under the Corporations Information Act (CIA) setting out the prescribed information within 60 days after the date of incorporation, amalgamation or continuation of the corporation (section 2 of the CIA). Filings must be made in the required form and format, and meet all requirements and technical specifications established by the Director.
    • Who needs a GST/HST account?
      If you sell products and services in Canada and collect GST/HST from your Customers, then GST/HST Account Number is Required.
    • Who needs a payroll account?
      If you hire Employees including yourself, then you need a Payroll Account Number.
    • Who needs an Import account?
      If you Import Goods into Canada, then you need an Import Account Number.
    • Who needs an Export account?

    • Who needs to register with WSIB?
      • Registering with Workplace Safety and Insurance Board (WSIB) is required for most businesses In Ontario within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WSIB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WSIB anyways for protection to their workers.
      • WSIB registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.
